IMPORTANT - PLEASE READ CAREFULLY. These Terms & Conditions ("Agreement") govern your access to and use of CrbonFree (the "Service" or the "App"), operated by Crbon Labs Inc. ("Crbon Labs," "we," "us," or "our"). The Service includes the CrbonFree web application and dashboard, the CrbonFree Microsoft 365 app (including its personal tab and the CrbonFree declarative agent for Microsoft 365 Copilot), the CrbonFree remote MCP server, the CrbonFree browser extension, the crbon command-line tool's usage sync, and CrbonFree APIs and SDKs. By creating an account, submitting an API key, authorizing a Connection, installing a CrbonFree app or extension, participating in a private or public beta, subscribing to paid services, or otherwise accessing or using the Service, you ("User," "you," or "your") agree to be legally bound by this Agreement. If you use the Service on behalf of an organization, you represent that you are authorized to accept this Agreement on its behalf, and "you" includes that organization.

Our Privacy Policy at https://dashboard.crbonfree.com/privacy is a separate document that describes how we collect, use, and protect personal information.

1. DEFINITIONS
"API Key" means an administrative or developer API credential issued by a third-party AI service provider.
"AI Account" means a User-controlled account with a third-party AI service provider.
"Connection" means an integration that a User authorizes between CrbonFree and a third-party service, such as an API Key connection, a cloud OAuth connection, an Amazon Web Services cross-account connection, or a Microsoft 365 Copilot (Organization) connection.
"Organization" means a CrbonFree organization workspace to which Users belong with assigned roles.
"Carbon Credit Product" means a voluntary carbon credit (measured in CO2e) sourced from projects developed by Crbon Labs or selected by Crbon Labs at its sole discretion.
"Carbon Estimates" means estimated greenhouse gas emissions associated with AI usage.
"Estimates" means Carbon Estimates and other modeled figures generated by the Service, including estimated tokens, costs, energy consumption, and water consumption.
"Usage Data" means AI usage metadata such as token counts, model identifiers, timestamps, and volumes.
"Trust Assets" means trust badges, certificates, carbon statements, receipts, and audit packs made available through the Service.
"Beta Services" means features or services identified as alpha, beta, preview, early access, or similar.

2. ELIGIBILITY & ACCOUNT TYPES
You must be legally capable of entering into this Agreement. The App supports Personal and Enterprise accounts. Regardless of account type, these Terms apply equally unless otherwise agreed in writing. Accounts are provided through our authentication provider, Clerk, and may be accessed using supported sign-in methods, including third-party sign-in such as Sign in with Microsoft. You are responsible for activity under your account and for keeping your sign-in credentials secure.

3. ORGANIZATIONS, ROLES & AUTHORIZED ACCESS
The Service is organized into Organizations. A User may belong to multiple Organizations and may access each Organization's data only according to the role assigned in that Organization. Organization administrators control membership, roles, Connections, API keys, projects, and billing for their Organization, and are responsible for granting access only to authorized persons and for removing access when it is no longer appropriate. You must not access, or attempt to access, an Organization or data you are not authorized to access.

4. BETA SERVICES DISCLAIMER
The App may be offered as a Private Beta or Public Beta. Beta Services are provided on an "AS IS" and "AS AVAILABLE" basis, may contain errors, and may be modified or discontinued at any time without notice. Crbon Labs disclaims all warranties related to Beta Services to the maximum extent permitted by law.

5. APP FUNCTIONALITY
CrbonFree is a centralized AI usage monitoring and environmental impact platform. It aggregates Usage Data from the sources you connect - such as AI provider APIs, cloud AI platforms, local coding agents, the browser extension, and Microsoft 365 Copilot - and generates Estimates for informational purposes only.

Estimates are modeled, not independently measured, verified, or certified, unless the Service explicitly states otherwise for a specific output. Estimates are approximate, depend on the data each source makes available, and are subject to methodological change. Some sources do not report token counts; for those sources, including Microsoft 365 Copilot, token usage and related impacts are modeled from other usage information, such as the number of prompts.

6. THIRD-PARTY ACCOUNTS, CONNECTIONS & SERVICE DEPENDENCIES
a) API Key Access & Permissions
By submitting an API Key for a server-side connection, you grant Crbon Labs permission to access Usage Data solely for carbon estimation and the related usage reporting features of the Service. Crbon Labs' server-side API-key integrations do not access prompts, outputs, or training data. The browser-extension disclosure in our Privacy Policy explains the limited local processing performed by the CrbonFree browser extension. API Keys are encrypted and access is restricted. You are responsible for safeguarding your API Key.

b) Authorization for Connections
When you create a Connection, you represent that you have all rights, permissions, and authority needed to authorize CrbonFree to access the relevant third-party account and its usage data, and that you have provided any notices and obtained any consents required by law or by your organization's policies, including for usage data that relates to other individuals, such as your employees. You may disconnect a Connection at any time as described in Section 13. You may also be able to revoke CrbonFree's authorization directly with the third-party service.

c) Third-Party Services
The Service depends on third-party services, including AI providers, cloud platforms, Microsoft, Google, Amazon Web Services, Clerk, and Stripe. Your use of a third-party service is governed by your agreements with that provider. Crbon Labs is not responsible for third-party services, and changes to, interruptions of, or limitations in their APIs, data, or authorization may affect the availability, completeness, or accuracy of the Service.

7. MICROSOFT 365 APP, COPILOT AGENT & MICROSOFT 365 CONNECTION
a) Microsoft 365 App
The CrbonFree Microsoft 365 app provides a personal tab in supported Microsoft 365 clients, such as Teams and Outlook, and the CrbonFree declarative agent for Microsoft 365 Copilot. Installing the app does not create a CrbonFree subscription or purchase, does not give Crbon Labs access to your organization's Microsoft 365 data, and does not by itself create a CrbonFree account.

b) Copilot Agent
The CrbonFree agent lets signed-in CrbonFree Users ask Microsoft 365 Copilot about data in Organizations they belong to. The agent uses CrbonFree's remote MCP server, which provides read-only access to CrbonFree data; the agent cannot create, change, or delete CrbonFree data or make purchases. Responses are generated by Microsoft 365 Copilot, which is provided by Microsoft under your organization's agreements with Microsoft. Crbon Labs is not responsible for content generated by Microsoft 365 Copilot, and you should verify important information in the CrbonFree dashboard.

c) Microsoft 365 Copilot (Organization) Connection
Signing in to CrbonFree with a Microsoft account is separate from connecting a Microsoft 365 organization. Importing Microsoft 365 Copilot usage data requires a CrbonFree Organization administrator to create the Connection and a Microsoft tenant administrator to grant the Office 365 Management APIs "ActivityFeed.Read" permission for the tenant. The customer is responsible for deciding whether to grant that permission, for ensuring the person granting it is authorized to do so, and for any notices to or consents from its users that are required. A Microsoft 365 tenant may be connected to only one CrbonFree Organization at a time. Disconnecting in CrbonFree stops new imports; to fully revoke CrbonFree's access to the tenant, a Microsoft tenant administrator must remove the CrbonFree application in Microsoft Entra ID.

d) No Affiliation
Microsoft, Microsoft 365, Teams, Outlook, Copilot, and Entra are trademarks of the Microsoft group of companies. Google, Gemini, and Google Cloud are trademarks of Google LLC. Amazon Web Services and Amazon Bedrock are trademarks of Amazon.com, Inc. or its affiliates. Other product names are trademarks of their respective owners. CrbonFree is an independent product of Crbon Labs and is not affiliated with, sponsored by, endorsed by, or certified by Microsoft, Google, Amazon, or any AI provider unless expressly stated.

8. SUBSCRIPTIONS & PAYMENTS
a) Plans
Core usage tracking and Carbon Estimates may be accessed without charge. Optional paid subscriptions provide additional features and allowances, such as monthly token allowances, Trust Assets including trust badges and certificates, signed carbon receipts, audit packs, and the purchase and retirement of Carbon Credit Products on your behalf, as described for each plan at the time of purchase. Features available to you depend on your Organization's current plan and entitlements.

b) Payment Processing
Payments for paid plans are processed by Stripe through Stripe's secure payment interface in the CrbonFree web application. Payment information is not collected through the Microsoft 365 app, Microsoft 365 Copilot, the CrbonFree agent, or the MCP server, and no purchase can be made through a chat conversation. Crbon Labs does not receive or store full payment card numbers. Where an Organization purchases CrbonFree through a cloud marketplace that CrbonFree supports for billing, that marketplace's terms and billing apply to that purchase.

c) Billing, Renewal & Cancellation
Subscription fees are billed in advance on a recurring monthly basis and renew automatically at the end of each billing period until cancelled. Usage beyond a plan's included allowance, or usage on metered plans, may be billed at the applicable rates at the end of the billing period. Changing plans during a billing period may result in prorated charges. You may cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period, and paid features remain available until then. Fees are non-refundable except where required by law. Prices are shown before purchase, and you are responsible for applicable taxes.

d) Non-Payment
If a payment fails or remains unpaid, Crbon Labs may suspend or downgrade paid features until the amount is paid.

9. TRUST ASSETS, CARBON CREDITS & ENVIRONMENTAL CLAIMS
Crbon Labs may select carbon credit projects at its sole discretion. Trust Assets reflect the Estimates and Carbon Credit Product retirements recorded in the Service for the stated period; they are not independent third-party verification, audit, or certification of your emissions unless explicitly stated. Use of the App does not confer carbon neutral or net zero status. The App may not be used as the sole basis for environmental claims. You are responsible for ensuring that any environmental claims you make, including any display of trust badges or certificates, are accurate, not misleading, and comply with applicable laws and advertising standards. Trust Assets may be withdrawn or become unavailable if your subscription ends or if they no longer reflect your account.

10. AGGREGATED & ANONYMIZED DATA
Crbon Labs may collect, use, and publish aggregated and anonymized benchmark data derived from Usage Data for research, reporting, and product improvement, provided such data cannot reasonably identify any User.

11. WEBSITE ANALYTICS, DATA PROTECTION & PRIVACY
When you access our websites and applications, we and our infrastructure, hosting, and content-delivery providers (including Cloudflare) may automatically collect limited technical and usage information for analytics, security, fraud prevention, and service-improvement purposes, as described in our Privacy Policy. Personal data, including data received through Connections, the browser extension, the Microsoft 365 app, and the CrbonFree agent, is processed in accordance with our Privacy Policy and applicable privacy laws. Where required by applicable law, you may exercise your privacy rights by contacting us at support@crbonlabs.com.

12. ACCEPTABLE USE
You must not: use the Service in violation of law or third-party rights; connect accounts or data you are not authorized to share; attempt to gain unauthorized access to the Service, other Organizations, or data; interfere with or disrupt the Service, including through excessive automated requests; reverse engineer the Service except as permitted by law; or misrepresent Estimates or Trust Assets.

13. DISCONNECTION, TERMINATION & SERVICE AVAILABILITY
This Agreement continues until terminated. You may stop using the Service at any time, disconnect Connections, and delete your account. Organization administrators may disconnect Connections for their Organization. Disconnecting a Connection stops new data imports; previously imported Usage Data and Estimates may be retained as described in our Privacy Policy. Crbon Labs may suspend or terminate access at any time for risk, misuse, violation of this Agreement, or non-payment. Crbon Labs may modify, suspend, or discontinue features of the Service, and does not guarantee that the Service or any integration will be uninterrupted, error-free, or available at all times, except as agreed in writing.

14. INTELLECTUAL PROPERTY
Crbon Labs retains all rights to the App and methodologies. Users retain ownership of their Usage Data subject to a limited license permitting Crbon Labs to process it to provide the Service and as described in this Agreement and our Privacy Policy.

15. DISCLAIMERS
Except as expressly stated in this Agreement or in a written agreement with Crbon Labs, and to the maximum extent permitted by law, the Service, Estimates, and Trust Assets are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

16. LIMITATION OF LIABILITY & INDEMNIFICATION
To the maximum extent permitted by law, Crbon Labs' total liability shall not exceed fees paid in the preceding twelve (12) months. Crbon Labs is not liable for indirect or consequential damages. Users agree to indemnify Crbon Labs for misuse or legal violations, including unauthorized Connections or environmental claims made by the User.

17. CHANGES TO THIS AGREEMENT
We may update this Agreement from time to time. We will post the updated version on this page and change the "Last Updated" date, and will provide additional notice of material changes where required by law. Continued use of the Service after an update takes effect constitutes acceptance of the updated Agreement.

18. GOVERNING LAW
This Agreement is governed by the laws of Alberta and Canada, without regard to conflict of laws principles.
